SC II Acquisition is a Cayman blank-check that just walked away from the only target it has ever named. In mid-July the company told an unnamed payments-technology counterparty that the non-binding letter signed at the end of March was finished. The trust still holds about $176 million. The equity is a residual claim on a restarted search, not an operating company, and the abandoned letter is the one load-bearing event of the year because it converts a quiet post-offering vehicle into a clean-slate search with a thinner checking account than the vault implies.

Outside the trust, cash has slid toward $751 thousand. Second-quarter overhead rose to about $305 thousand as diligence on the abandoned letter ran through the income statement. Trust interest still accretes the redemption claim each quarter. Reported net income is interest the company cannot spend. The going-concern paragraph in the mid-year filing is the honest read on that split: the vault is full and the checking account is not, and the sponsor has already shown it can spend a quarter chasing a name it then declined to buy.

The Class A last printed at $10.12. The mid-year trust claim sits at $10.20. The market is barely paying for any search optionality here. Whether a replacement letter appears before the late-May window, and whether the sponsor funds the checking account while it searches, is the entire case.
