PodcastOne (PODC): Controlled Publisher Tests Monetization Leverage

PodcastOne is a LiveOne-controlled podcast publisher that has climbed into the front rank of domestic networks while still failing to convert that audience into GAAP profit. The June quarter opened fiscal 2027 with record sales and a new high in adjusted earnings before interest, taxes, depreciation, and amortization. That non-GAAP construct strips stock-based pay and deal costs from the loss. The same print widened the operating loss because talent and consultant equity grants more than doubled the add-back. That split is the entire equity debate. The network is getting more efficient at selling ads against a larger catalog, yet the residual claim is still being diluted to keep creators and advisors on the platform.

The commercial story underneath the accounting is more interesting than the headline growth rate. Sales rose only in the high single digits, but contribution margin, which adds back equity pay sitting in cost of sales, advanced much faster. Kit Gray, the president and co-founder, used the call to argue that video inventory on YouTube and a Netflix window for Stassi Schroeder now support premium rates that audio-only spots do not. Progressive, State Farm, Lowe's, and Macy's showed up as named brand advertisers, a shift away from the direct-response buyers that have historically dominated podcast inventory. The ranking climb past Disney on Podtrac is the sales team's new calling card with national agencies. That is a real mix argument, not a volume argument, and it is the only way a mid-single-digit growth print can support a much faster rise in adjusted earnings.

What the market has to decide is whether that mix shift funds management's fiscal 2027 outlook, or whether parent control and a leftover going-concern paragraph keep the multiple compressed. LiveOne owns a controlling block after buying more stock and exercising warrants priced at $3 a share. PodcastOne remains a guarantor of the parent's secured converts. Cash rose after that warrant sweep, but working capital is still only a sliver of a quarter's revenue-share bill. The next advertising seasons resolve whether video and national brands can carry the residual, or whether the listed shares function mainly as a tracking stock for LiveOne's audio division.
