Prosperity Bancshares (PB): Three Mergers Meet a Repricing Cycle

Prosperity Bancshares just finished a six-month acquisition sprint that remakes a conservative Texas community franchise into the second-largest bank by deposits headquartered in the state. The Stellar Bancorp close on the first of July sits on top of the American Bank and Texas Partners closings earlier in the year, and the equity debate is no longer whether the company can buy banks. The debate is whether three conversions, a still-repricing securities book, and a deposit franchise that still funds a third of balances for free can turn purchased scale into higher returns on tangible equity before the next credit cycle tests the acquired books.

The second-quarter print, which does not include Stellar, already shows the margin engine working. Tax-equivalent net interest margin widened twenty nine basis points from a year earlier, to 3.47%. Linked-quarter compression of four basis points was an artifact of a one-time nonaccrual recovery in the first quarter, not a reversal of the repricing path. Adjusted earnings rose even after stripping a Visa stock exchange gain and leftover merger costs. Organic loans, excluding the warehouse purchase program, still shrank on the quarter as residential paydowns and a refusal to match competitor pricing outweighed new production.

Charge-offs collapsed after a first-quarter commercial and industrial spike that management treated as a single-name cleanup. Nonperforming assets stayed near one third of one percent of average earning assets, and the allowance still covers those problem assets nearly three times. The next year is an integration calendar: American Bank systems in September, Texas Partners in November, and Stellar in March. The question is whether the promised pretax cost saves land after those conversions, or whether purchased scale simply leaves a larger, slower franchise trading below book.
