Moolec Science (MLEC): Residual Claim on Molecular Farming After Collapse

Moolec Science is no longer the molecular-farming story that listed through a special purpose acquisition company. After a reverse acquisition that installed Bioceres Group as the accounting parent, the company immediately lost de facto control of Bioceres Crop Solutions, the commercial engine that had produced nearly all reported sales. What remains is a Cayman Islands foreign issuer whose residual assets are plant-protein intellectual property, a textured-soy ingredient plant, and a precision-fermentation concept, sitting under an explicit going-concern warning. The equity is a residual claim on that intellectual property after a failed agri-rollup, not a claim on a scaled food-tech franchise.

The latest interim statements show why the accounting picture cannot be trusted as an operating read. Continuing operations produced about $5 million of revenue against an operating loss near $6 million. A deconsolidation gain near $129 million flipped the headline to a $92 million profit, which is a non-cash artifact of letting go of bankrupt Argentine subsidiaries rather than a cash recovery. Cash ended the half near $1 million while current liabilities remained in the tens of millions. Related-party support that had been bridging that gap is no longer available.

A winding-up petition filed by Linklaters over disputed legal fees has become the binding constraint. The Grand Court of the Cayman Islands is scheduled to hear the petition in early November. Until that cloud lifts, replacement financing is impaired and a holdback share issuance from the combination agreement is frozen. Nasdaq restored listing compliance in early June after two reverse splits and a preference conversion that handed Agriculture Investment Group control. The question the next several months resolve is whether the remaining platform can attract replacement capital before the court, the cash, or the listing monitor closes the option.
