JIADE (JDZG): Safety Training Growth Cannot Hide a Shrinking Core

JIADE Limited is a Cayman holding company whose Sichuan operating subsidiaries sell administrative software and exam-support services to adult education schools, and the equity debate is no longer about that original franchise. Reported fiscal 2025 sales rose 37 percent only because newly bought safety-training units filled a hole in the legacy line. The original adult-education book contracted even as the consolidated top line expanded, which is the opposite of a platform that is deepening its installed base. The market is treating the name as a recapitalized listing with a live adjacent-market option rather than as a proven software compounder.

Nasdaq halted Class A trading in early June under a T12 information request that covered the two-tranche registered direct, two share consolidations in the same year, and the prior-year follow-on. Trading resumed at the end of July after staff said it had no further questions, which removed an immediate delisting overhang without rehabilitating the operating picture. The company had just closed a registered direct that brought in $12 million of primary capital. The halt showed how tightly the listing now depends on successive consolidations and discounted primary issuance rather than on bid-price support from the business itself.

The tension is that the capital that recapitalized the balance sheet also confirmed how little voting and economic influence public holders retain. Chairman Yuan Li received a large Class B grant under a new equity plan and now directs essentially all shareholder votes. Meanwhile the legacy adult-education book, still about 64 percent of sales, went backward. A controlled micro-cap that funds a lower-margin adjacency by issuing stock against a shrinking core is a very different security from a software platform that is compounding inside its original market.

The next test is whether the first half of the current year shows the adult-education line stabilizing and the safety-training units converting volume into contribution profit after the spending surge. A second test is whether the bid stays above the Nasdaq minimum without another consolidation. Those two observables decide whether the raise bought a real operating turn or merely another year of listing maintenance.
