IT Tech Packaging (ITP): Residual Claim on an Idle Hebei Mill

IT Tech Packaging is a Nevada holding company whose only live mill still sells corrugating medium paper into North China, yet the common equity trades as a residual claim on a book that the market no longer treats as convertible cash. The central debate is whether that book, dominated by an idle Tengsheng Paper plant, still has any path to holders of the listed shell, or whether the listing clock, the auditor walk-off, and the idle mill have already reduced the common to option value on a trapped Renminbi balance sheet. Shareholders do not own the Chinese mills. They own a contract stack over a variable interest entity, and that stack is only as good as an auditor who is willing to sign and an exchange that is willing to keep the ticker listed.

The load-bearing event of the past year is not a mill restart. It is the collapse of the audit. Montis CPA Limited resigned at the end of August after an unresolved disagreement over a $1.05 million transfer involving Chief Executive Officer Zhenyong Liu. Management characterized the item as an equipment purchase. Montis treated the accounting, the disclosure, and the nature of the item as a disagreement under Item 304 and left without issuing any audit report on the still-unfiled fiscal year. Two days later the audit committee hired HCL, PLLC. That sequence sits on top of an April resignation by GGF CPA Limited and a mid-April NYSE American notice that the annual report for the prior fiscal year missed its deadline.

The operating print underneath that governance mess is a single-product mill that still ships corrugating medium paper, the brown liner used to make cardboard boxes, at a thin spread against recycled board. Nine-month sales were $61 million. Gross profit on that volume was $3.4 million. The year-earlier figure was $5.6 million. Depreciation and amortization ran $10.7 million, which is why a modest cash profit from operations can coexist with a widening net loss. Reported working capital was $17 million. Stripping the idle-plant tax credit leaves $3.8 million. Cash and restricted cash together were $9.1 million. The top-supplier guarantee is $4.4 million.

What decides the equity from here is not another quarter of box-grade tonnage. It is whether a successor auditor signs an annual report inside the exchange cure window, and whether the Liu transfer is classified as equipment or as a related-party loan. Until those two items exist on the public record, the listing remains inside a cure period and the book remains an accounting identity rather than a bid.
