Ingersoll Rand Inc (IR): Industrial Roll-Up Margins Tested by Inflation Mix

The bolt-on machine is still running, but the gears are grinding. Ingersoll Rand closed the second quarter with revenues of $2,048.8M. That represented an 8.5% year-on-year lift. Net income of $258.0M reflected a sharp swing from a prior-year loss that had been distorted by a goodwill write-down and an equity-method impairment. Beneath the surface, the operating story is more uneven: consolidated Adjusted EBITDA margin compressed by 160 basis points to 25.4%. The Industrial Technologies and Services segment posted a 180-basis-point margin contraction, and organic revenue growth of just 4.1% in the quarter came in softer than the headline. Pricing has been unable to fully offset input cost inflation, and management has called out product mix as the principal margin headwind.

Two bolt-ons closed in the first half (Scinomix and Fox, plus two smaller distribution assets) added $163.2M of consideration. A third-quarter subsequent event added a $162.5M recoveries tailwind from the ILC Dover litigation. The most important counterpoint is that Precision and Science Technologies is doing exactly what management built it to do. The PST segment grew orders 11.5% on the quarter, with margins expanding 200 basis points. That combination is what the roll-up is meant to deliver, and it shows that the higher-margin scientific and life-sciences businesses can still earn their way through inflation. Order growth in PST has now run ahead of revenue growth for two consecutive quarters, which is the most constructive read on the segment in over a year. The margin expansion in PST is the single most important data point in the quarter for the bull case, because it shows that pricing discipline in the higher-end pump business is intact even as the industrial compressor business absorbs inflation.

The total business now sits at $74.64 per share with a market capitalization near $29.0B. That trailing multiple is rich against a forward P/E near 19x, and the equity sits well below its fifty-two week high of nearly $101. The forward read depends on whether the PST engine keeps expanding faster than ITS margins deteriorate. Adjusted EBITDA still rose modestly in the quarter. Free cash flow remained healthy at $268.9M for the quarter, and the share-repurchase authorization leaves room for ongoing capital return. The combination of margin slippage and elevated trailing multiples keeps the equity firmly in show-your-work territory for the back half of the year. Investors looking for confirmation of the bull case should watch the third-quarter print for evidence of either ITS margin stabilization or a renewed leg of organic order acceleration in the original-equipment business. The third-quarter release is expected to be the next meaningful data point, given that the upcoming Senior Notes refinancing and the continued pace of bolt-on activity both fall into the same planning window.
