The story out of Galectin Therapeutics this summer is not the second-quarter income statement; it is the debt-for-equity swap that closed six weeks after the quarter ended. On July 31, 2026, chairman and largest stockholder Richard E. Uihlein converted every outstanding convertible note he had extended to the company into common shares. That single transaction retired roughly $105.8M of principal and accrued interest. It took related-party borrowings from approximately $134M down to zero. In exchange, 34,376,167 newly issued shares went to Mr. Uihlein at a blended conversion price near $3.07 each. The issuance pushed the share count from 66.3M weighted-average shares to about 100.85M shares outstanding once it cleared. For a micro-cap clinical-stage biotech with one late-stage readout already in hand and no product on the market, restructuring the balance sheet is the kind of event that determines whether the next twelve months are spent on data or on a fire sale.
At $4.22 per share, GALT trades near the middle of its recent range. The fifty-two week spread runs from $2.03 to $7.13. Enterprise value is closer to $413M once residual cash is netted against the now-extinguished related-party debt. Shares trade roughly 639K per day on average. Insider holdings sit near 53% of the float. Uihlein's post-conversion voting power of 44.3% explains most of that concentration, rising to 49.3% on a fully diluted basis including his warrants. The second-quarter numbers tell the quieter side of the story.
The second-quarter income statement is quieter than the debt story. Research and development expense fell to $2.14M from $3.26M a year earlier as the NAVIGATE trial wound down. General and administrative expense rose to $1.85M. The resulting net loss of $9.11M was wider than the prior-year quarter, driven by a $3.16M non-cash mark-to-market charge on derivatives rather than by clinical spending. The decision-relevant question for the next year is straightforward. Galectin closed the quarter with $13.3M of cash plus a $10M undrawn line from its chairman. Management says that combination funds planned operations through June 2027. With debt off the books and the chairman's economic stake reinforced rather than diluted, the equity now trades on clinical execution rather than on the next convertible extension.
