FuboTV Inc. (FUBO): A Minority Stake in a Disney Live TV Franchise

The investment thesis in one sentence is the framing device for everything that follows, and it holds together only if the franchise keeps compounding. FUBO is a minority public claim on a consolidated live sports TV business that has been folded into Disney's streaming structure, and the equity is a bet that the public slice re-rates as the combined company works toward the adjusted EBITDA target it set for fiscal 2028.

The most important recent development is the business combination with Hulu Live, which closed in the fourth quarter of 2025, and the arrival of a new CEO, Alisa Bowen, in July 2026. The combination moved the Hulu + Live TV business into the consolidated structure and left Disney, through Hulu, holding roughly a 70 percent economic and voting stake in the new operating company, with the public Class A share holding the remaining 30 percent. That structural fact is what makes every headline number here a Disney-dominated figure. The CEO change matters because Bowen brings the operational background of a decade at Disney's streaming business, and she has pledged a strategic update on the November earnings call that reframes the public stake's path to value.

The tension is that the public holder owns a minority economic interest in a company whose dominant owner also supplies its largest cost base, its ad platform, and its most important distribution funnel. That related-party web is a genuine moat for the franchise, but it also means the public slice is structurally subordinate: Disney sets the terms of the carriage, the ad server, and the content economics. The nine-month operating cash flow came in negative 417 million, and the balance sheet carries 2.6 billion of goodwill against a public equity value that is now in the mid 300s of millions. The equity is priced for a franchise that the public does not control.

The catalyst is the November strategic update, and it is the timing trigger for the whole thesis. If Bowen converts the ESPN funnel, the Disney ad server migration, and the World Cup 2026 advertising surge into a durable subscriber and margin line, the minority stake re-rates. If the 300 million adjusted EBITDA target for fiscal 2028 slips, the multiple has no floor, because the public stake's value is derivative of a franchise Disney already owns in the majority.
