FG Nexus Inc. (FGF): A Treasury Pivot That Ended Before It Began

FG Nexus is a Nasdaq-listed vehicle whose identity changed more often than its business model did, and the question facing holders of the FGF common stock, now trading under the FGNX symbol, is whether a company that sold all of its Ethereum inside roughly nine months of launching a treasury strategy can credibly execute a second pivot into affordable housing and merchant banking.

The most important development is the June 2026 board decision to exit the digital asset business entirely. The board authorized management to reduce digital asset exposure, the company sold every unit of its ETH and wrapped staked ETH holdings before the end of the second quarter, and it simultaneously set up a new real estate operating subsidiary. The mechanism matters because the sale converted a balance sheet dominated by a mark-to-market crypto asset that drove a $67.6 million continuing-operations loss in fiscal 2025 into cash, an unsettled receivable, and a reallocation mandate toward tangible assets. The ETH sale proceeds of about $15 million sat as a receivable at quarter end and settled in July. The company also sold put and call options on ETH during the first quarter of 2026 as an additional yield layer, then wound the book down so that no contracts were outstanding at quarter end.

The tension is that the treasury experiment lasted barely a year and left the company with a small merchant banking book, one income-producing Quebec property, a portfolio of equity stakes, and a special committee weighing a related-party business combination with FG Communities. Staking revenue of $1.5 million came against $44.1 million of combined realized and unrealized digital asset losses in the same fiscal year. A board that has repurchased 25.8 percent of its own common stock under a $200 million authorization has shown conviction in the shell, but the shell has no consistent earnings engine, and the manufactured housing counterparty was founded by people who sit on this board.

The timing trigger is the special committee's evaluation, which is expected to culminate in a decision on the FG Communities combination or an alternative transaction during the second half of 2026. Alongside it sits the reinstatement or abandonment of the suspended at-the-market offering that has been the company's standing liquidity line.
