Enbridge Energy Partners, L.P. (EEP): A Delisted MLP Whose Last Chapter Was Its Own Buyout

EEP is a defunct ticker. The security last traded on the NYSE under the symbol EEP before Enbridge Inc. completed its acquisition of all outstanding public Class A common units of Enbridge Energy Partners, L.P. on December 20, 2018. Each public unit converted into 0.3350 Enbridge common shares in an all stock-for-unit exchange. The units were suspended from trading and delisted the same day. No active EEP registrant appears in the SEC company tickers file, and the partnership's CIK shows no periodic reports after the last quarter filed in late 2018.

The story behind the delisting is the better one. For roughly two years before the buyout, the partnership ran a pure-play liquids pipeline model built on the Lakehead System, the Mid-Continent System, and North Dakota Bakken assets. It sold its entire natural gas and NGL business to Enbridge in June 2017 and cut its distribution by more than 40 percent the day before. The remaining equity then spent 2018 waiting for its parent to finish the job. No investor today holds EEP, and no valuation exercise applies to the ticker itself.
