Fangdd Network Group Ltd. (DUO): An AI Bet Against a Foundering Developer Book

Fangdd Network Group Ltd. used the back half of 2025 to do something the company's decade-long operating history had not produced before: assemble a balance sheet that is unambiguously stronger than the income statement. Total revenue rose 4.6% to RMB354.8 million (US$50.7 million) on 14.7 billion renminbi of closed-loop gross merchandise value, yet the company swung back to a net loss of RMB86.0 million (US$12.3 million) after a single-year profit in 2024. The driver was a RMB44.4 million (US$6.4 million) other-than-temporary impairment on equity method investments tied to property project exposure, layered on top of a structurally compressed 17.9% gross margin. The real strategic move happened on September 29, 2025, when management signed an asset purchase agreement for artificial intelligence technology that ultimately cost US$34.32 million and was funded by an immediately-converted convertible promissory note. The transaction flipped intangible assets on the balance sheet from RMB1.0 million to RMB234.1 million and reframes the equity story from a faltering real estate developer marketplace into a real estate digitalization platform with a freshly acquired AI core.

Three variables determine whether the thesis is investable. First, the asset quality of the existing book: accounts receivable net of a 642.8 million renminbi allowance sits at RMB147.9 million, but the gross receivables of RMB790.7 million with 81% reserved remain the most visible marker of the China real estate distress that has hollowed out DUO's original commission model. Second, the operating model conversion: the AI technology purchase, paired with the asset management services line targeting municipal investment companies and non-residential properties, represents a deliberate pivot away from developer-dependent commissions. The 26.5% growth in innovation initiatives and value-added services revenue (from RMB18.3 million to RMB23.2 million) is small in absolute terms but points in the right direction. Third, capital structure and listing status: three convertible notes totaling roughly US$44 million in face were issued and fully converted into 60.4 million Class A shares in 2025, the share count ballooned from 2.2 million to 38.5 million post the 16-to-1 June 9 share consolidation, and on July 24, 2026 the company received a new Nasdaq minimum bid price deficiency notice that is the sixth such episode since 2021.

Confirmation comes from three observable signals. Sequential improvement in the gross allowance ratio as a share of gross accounts receivable, with the reserve ratio moving below 80% on lower gross balances. A pickup in asset management services revenue that lifts innovation initiatives above 10% of total revenue, from the current 6.5% mix. And a clean Nasdaq compliance notice following any reverse split or extended bid-price action within the 180-day grace period that runs through late January 2027. The thesis breaks if accounts receivable write-offs continue at the 2024-2025 pace, if the gross margin slips below 15% on a full-year basis, or if the company cannot refinance the 12 months of obligations with the RMB29.3 million of cash and equivalents on hand. The auditor's report and the going concern footnote both flag dependence on additional equity or debt financing whose availability is explicitly described as not certain, so a missed equity raise is a hard floor under the equity.
