Criteo delivered a difficult second quarter, with revenue compressing 11% to $428M as the ad tech firm navigates client-specific scope reductions in Retail Media and broader softness across Performance Media. The Luxembourg-domiciled company, formerly a French entity, trades on the Nasdaq Global Select Market and is simultaneously executing a structural reorganization alongside an executive transition at the finance seat.

Despite the top-line contraction, operating discipline produced meaningful savings across the cost base. Sales and operations expense fell 21% year over year, and net cash from operations climbed to $20.3M in the quarter from a near-breakeven comparison. Profitability margins held reasonably intact, with adjusted EBITDA representing 17.1% of revenue versus 18.5% a year earlier, evidence that the cost base flexes with the demand environment even as absolute earnings power has stepped down.

The investment debate centers on whether the current trough marks a cyclical inflection point or a structural reset for the broader commerce media category. The stock trades at 4.9x forward earnings and 0.4x trailing sales, multiples that imply a deeply discounted earnings stream relative to historical norms. Capital return remains a defining feature of the equity story. The company repurchased $61.3M of stock in the first half, while operating under a buyback authorization that has been extended to $959M of cumulative capacity. The cash position of $252M is supplemented by a $463.7M undrawn revolving credit facility. Together they produce $766.8M of total liquidity, providing balance sheet resilience and optionality for opportunistic capital deployment. The liquidity profile offers flexibility to navigate the cyclical downturn while continuing both organic investment and capital return, a combination that supports the long-term value proposition even as near-term results remain under pressure.
