Brady Corporation is a Milwaukee, Wisconsin-based global industrial technology company and a leading provider of identification, safety, and productivity solutions that help organizations of all sizes identify, connect, protect, track, and optimize what matters most, with operations in North America, South America, Europe, the Middle East, Africa, Asia, and Australia, and approximately 6,400 employees worldwide as of July 31, 2025. For the fiscal year ended July 31, 2025, the Company generated net sales of $1,513.6 million, up 12.8 percent from $1,341.4 million in fiscal 2024, with the net sales growth consisting of organic sales growth of 2.6 percent, sales growth from acquisitions of 10.5 percent, and a 0.3 percent decrease from divestitures, and the gross margin of $760.8 million (50.3 percent of net sales) was down 1.0 percentage point from 51.3 percent in fiscal 2024. The Company has also announced and closed a transformational acquisition of Honeywell Technologies' Productivity Solutions and Services business on August 3, 2026, an all-cash $1.4 billion transaction that materially expands the Company's scale, capabilities, and addressable market.

The investment thesis rests on three variables. The Honeywell PSS acquisition integration trajectory is the load-bearing strategic variable, with the August 3, 2026 closing of the all-cash $1.4 billion transaction adding a new Intelligent Productivity Solutions reportable segment with PSS's 2025 sales of approximately $1.1 billion, and the strategic intent is to navigate the PSS integration through both the existing PSS business and the broader Brady business. The deleveraging trajectory is the load-bearing capital variable, with the net debt-to-EBITDA of approximately 2.5x expected at the time of the acquisition closing and the strategic intent to deleverage to below 2.0x within two years following close, supported by the strong cash generation. The PSS accretion trajectory is the load-bearing earnings variable, with the PSS acquisition expected to contribute approximately $0.80 of incremental Adjusted Diluted Earnings per Share within the first twelve months following the close of the transaction, and the strategic intent is to navigate the PSS accretion trajectory through both the existing PSS business and the broader Brady business.
