Biglari Holdings (BH.A): A Diversified Holding Company Ramping Steak n Shake's Franchise Pivot

Biglari Holdings Inc., the San Antonio, Texas-based diversified holding company that operates Steak n Shake and Western Sizzlin in restaurant operations, First Guard Insurance Company and Southern Pioneer Property & Casualty Insurance Company in property and casualty insurance, Southern Oil Company and Abraxas Petroleum Corporation in oil and gas, Maxim Inc. and other licensing and media assets, and the Biglari Reinsurance Ltd. captive, reported Q2 2026 total revenue of $108.524 million for the three months ended June 30, 2026, up 7.9 percent from $100.619 million in the prior-year quarter, while net earnings of $39.926 million for the quarter were down 21.6 percent from $50.931 million in the prior-year quarter. The half-year 2026 picture is similarly bifurcated, with total revenue of $206.005 million for the six months ended June 30, 2026 up 5.3 percent from $195.654 million in the prior-year period, while net earnings of $25.395 million for H1 2026 were up 43.8 percent from $17.656 million in the prior-year period. The strategic implication is that the company is in the middle of a meaningful transition of the Steak n Shake restaurant operations from a company-operated model toward a franchise-partner model, and the company reported that Steak n Shake's domestic same-store sales increased 11.9 percent during the second quarter of 2026 even as the consolidated restaurant revenue line is held down by the franchising transition.

The principal question for the next several quarters is whether the Steak n Shake franchise-partner transition produces a meaningful operating margin expansion as the company exits lower-margin company-operated units, and whether the investment partnership portfolio, which has grown from $154.275 million to $178.700 million during H1 2026, continues to produce a meaningful investment income contribution.
