BEBE: A Newly-Listed SPAC Quietly Bleeds Cash While the Trust Glaciers the Equity

TGE Value Creative Solutions Corp (NYSE: BEBE) is a freshly-IPO'd blank check company that closed its $150.0M initial public offering on December 18, 2025, parked the proceeds into a U.S. Treasury trust at $10.00 per unit, and is now eight months into its 24-month hunt for a target. Q2 2026 was the first quarter the company reported as a public entity, and the print was structurally what every SPAC's first quarterly report looks like before it finds a deal: $1.17M of net income on $1.23M of trust-account interest less $54K of general and administrative costs, and a $137,722 use of cash for the half from the cash that lives outside the trust. The 15.0M Class A shares carry a $10.17 per-share redemption claim against the $152.5M trust at June 30, 2026, while the 5.0M Class B founder shares sit on a $5.7M accumulated deficit and a book value of approximately negative $1.15. The single load-bearing question for the next 16 months is not the quarter - the quarter is mechanical - but whether the sponsor can announce a target at terms compelling enough that the public shareholders do not redeem, and that is a question the next 10-Q will not answer either.
