Becton, Dickinson and Company's first full quarter as a recast, four-segment medtech - the third quarter of fiscal 2026, ended June 30, 2026, and the first full period reflecting the February 9 spin-off of its former Life Sciences business into Waters Corporation - landed roughly in line with management's framing of "strong" execution: revenue of $5.0 billion rose 5.4% as reported and 4.4% in constant currency, with both adjusted operating margin and adjusted EPS beating the company's own prior commentary, and management raised the midpoint of full-year adjusted EPS guidance to $12.67 (from $12.62). The quarter was not an unqualified clean beat, though. GAAP operating margin compressed to 13.3% from 15.6%, a function of higher purchase-accounting amortization, a new $32 million of separation-related Waters-spin costs, a $53 million product-remediation/legal/pension line, and a tariff drag on gross margin that management itself flagged. The 9-month picture is more telling: a $450 million non-cash asset impairment booked in Q2 under the new Excellence Unleashed restructuring depressed reported GAAP operating income to $1,225 million, down 12.8% year-on-year, even as free cash flow from continuing operations climbed 44.6% to $1.73 billion on the proceeds of the spin and working-capital normalization. The single open question for the next six months is whether New BD can deliver the implied +6.5% full-year adjusted EPS growth without letting the tariff line, BD Alaris's consent-decree overhang, and the elevated $15.9 billion net debt position compound into a multiple reset.
