Addentax FY2026: Going-Concern Filing, 1-for-15 Reverse Split, and a Family-and-Friends Capital Bridge

Addentax Group Corp. (ATXG) filed its fiscal 2026 10-K on June 29 carrying a going-concern paragraph, swapped auditors three months earlier, and the equity is now a residual claim sitting on a $4.28M market cap with a $0.57M cash balance. The auditor's opinion explicitly states the company "has incurred a net loss of approximately $4.47 million during the period, which raises substantial doubt about the Company's ability to continue as a going concern." That is the load-bearing sentence of the year. The $5.4M of revenue is real, but the $4.5M of GAAP net loss and the $0.6M of operating cash use are bigger - and the equity is being kept alive by a small circle of related-party share issuances at $4.80 a share, the most recent of which (July 30, 2026) sold 677,084 shares for $3.25M to the CEO's two brothers and a third party, with Audit Committee sign-off.

The quarters since year-end have not changed the math. The company took a 1-for-15 reverse stock split effective March 30, 2026 (a listing-distress tell), completed a $5.5M bond-funded acquisition of 62.18% of KMFG (a Nevada garment and Malaysian digital-publishing entity, non-cash consideration), folded two small Hong Kong entities (Time Is Loan, Riches Family Office) in for stock, and continued to fund working capital with related-party loans and equity. The freshest 8-K (August 12, 2026) is a one-digit typo correction to the April 22 Share Exchange Agreement (14,670,000 → 14,680,000 shares held by the seller of Time Is Loan). There is no operating catalyst on the calendar, and the next earnings call is set for August 21, 2026.

The question this report answers is whether the related-party equity bridge can carry Addentax through a year of negative operating cash flow while the new business lines (consulting, KMFG) are early and small. The falsification framework below is dated to the calendar: a Q1 FY2027 (June 30, 2026) quarterly print, a KMFG segment disclosure, a clean audit committee ratification of the related-party placements, and the path to covering the next twelve months of opex without a third related-party tranche.
