Artelo Biosciences Q2 FY2026 Earnings: A Reverse-Split Recapitalization That Reset the Balance Sheet and Forced a Clean Reset on Cancer Anorexia

Artelo Biosciences, the Solana Beach, California clinical-stage biopharmaceutical company that targets lipid-signaling pathways and the endocannabinoid system, closed its second quarter of 2026 with the cleanest balance sheet it has had in years and a stock that trades below the cash on its books. Cash and cash equivalents stood at $4.20 million against a basic market capitalization of $3.18 million at the $0.7587 close on August 13, 2026. The company carries no debt. Stockholders' equity, which sat at a $1.27 million deficit on December 31, 2025, is now $5.00 million positive. None of this happened because the drug candidates suddenly produced revenue. They did not. Artelo still records zero product sales. The change is the result of a March 27, 2026 private placement that raised $11.0 million in gross proceeds, a March 10, 2026 one-for-three reverse stock split that cleaned up the share structure, the full settlement of the March 2026 convertible notes at a $42,000 gain on extinguishment, and a fresh $6.53 million at-the-market facility and $25 million equity line put in place to keep the lights on through clinical milestones.

The operational numbers were secondary, but worth reading. The three-month net loss was $2.43 million, narrower than the $3.22 million loss in the same period of 2025. Research and development spend fell to $876,000 from $1.87 million, a $995,000 reduction tied to the wind-down of enrollment in the CAReS Phase 1b/2a trial of ART27.13. General and administrative expense rose to $1.63 million from $1.28 million as financing-related professional fees and stock-based compensation climbed. The six-month net loss of $5.38 million was slightly narrower than the $5.59 million loss in the first half of 2025. Operating cash use of $6.22 million was, however, $4.11 million heavier than the $2.11 million use in the prior-year half, because accounts payable and accrued liabilities, which had been building as the company preserved cash, drew down by $1.97 million in the first half of 2026 once the placement closed.

The most consequential fact about the quarter is what the recapitalization bought, and what it did not. Artelo went into March with $600,000 of cash, three short-term convertible notes bearing toxic conversion features tied to the 10-day volume-weighted price, and a 12-month going-concern paragraph already on its most recent balance sheet. By the end of June, all three notes had been settled, the going-concern paragraph remains in the most recent quarterly report because the company still must raise additional capital in the next twelve months, and the cash had moved to $4.20 million. The Phase 2a CAReS interim data released in September 2025 - patients titrated to 1,300 micrograms of ART27.13 gained a mean 6.38% in body weight against a 5.42% loss on placebo - is still the load-bearing clinical anchor, and the equity is being asked to underwrite the next clinical step with the same bridge-financing playbook that brought the company this far. The market is pricing Artelo as a binary call option on the next readout, with the cash floor and the going-concern note as the explicit trade-offs.
