Argo Blockchain's Recapitalization Reset: First Profitable Year, 88% Owned by a Single Shareholder, and a Strategic HPC Pivot Starting From a $42 Million Market Cap

Argo Blockchain plc (Nasdaq: ARBK) closed fiscal 2025 as a transformed entity. The UK High Court sanctioned a Part 26A restructuring plan on December 10, 2025, the plan became effective two days later, and the London Stock Exchange ordinary-share listing was delisted on December 12. The restructuring cancelled the company's 8.75% senior notes due 2026, converted a $7.5 million secured loan from Growler Mining Tuscaloosa, LLC into equity, contributed Growler USCo's mining assets (machines, power contracts, and ancillary infrastructure) to the group, and brought Growler's ownership to approximately 88.59% of the enlarged ordinary share capital. The accounting outcome is a $22.4 million non-cash gain on extinguishment of debt that turned a $(13.4) million operating loss into $4.7 million of pre-tax profit and $5.1 million of net income. Strip out the debt-extinguishment gain and FY2025 was a third consecutive year of operating losses, but the going-concern emphasis paragraph that hung over the FY2024 audit has been removed.

The freshest disclosed financials are the FY2025 results in the 20-F filed April 30, 2026, supplemented by post-period 6-Ks covering a $2.5 million initial draw under a new $5.0 million subscription facility with Growler (3/30/2026), the Nasdaq compliance regain (1/8/2026), and a March 2026 share issuance that lifted Growler's economic interest to 88.59%. The stock closed August 13, 2026 at $2.89 per ADS. The 52-week range of $2.66 to $5.73 reflects the post-restructuring price band on the new 1:2,160 ADS ratio; the Yahoo 52-week-high metadata field of $205.20 dates to the pre-restructuring 1:10 ratio and is not a comparable level.

The forward question is whether the 2.4 exahash fleet can generate enough free cash at current Bitcoin prices to retire the Quebec mortgage by year-end 2026, fund the dividend-free growth-plus-debt-paydown path management has signposted, and validate the company's explicit strategic interest in high-performance computing and AI data center infrastructure. The thesis on the table is that Argo is no longer a going-concern miner with a 2026 bond maturity overhang; it is a controlled, debt-light, sub-$50-million market-cap Bitcoin miner with a 12-month subscription line, an HPC option, and roughly $148.3 million of unused tax losses that carry no balance-sheet value today but would be worth real money under a sustained recovery.
