Antero Resources closed the largest single transaction in its history on February 3, 2026, paying $2.8 billion in cash for HG Energy II Production Holdings and absorbing roughly 385,000 net acres in the core of the West Virginia Marcellus. The deal reset the company's scale - total assets jumped from $13.2 billion at year-end 2025 to $15.2 billion at June 30, 2026, daily combined production rose 21% year-over-year to 4,144 MMcfe per day, and proved property balances grew $2.9 billion. The thesis the market is asked to underwrite is whether Antero can earn back the acquisition premium out of higher per-Mcfe margins on the integrated asset base, despite a 22% drop in pre-hedge realized natural gas prices in the second quarter of 2026.
The second quarter print itself was strong on the income statement, obscured on the balance sheet. Total revenue reached $1,560 million, up 20% from $1,297 million in the second quarter of 2025, with natural gas liquids sales jumping 22% and oil sales up 77%, partially offset by a flat natural gas line that masked the volume gain with the lower strip. Net income attributable to Antero was $156.6 million, or $0.50 per diluted share, down from $278.7 million, or $0.90 per diluted share, a year ago; the year-over-year decline is almost entirely explained by a $200 million positive swing in the commodity-derivative mark that flattered the prior-year base. Stripping that out, the underlying earnings stream is meaningfully higher than the GAAP print implies, because the company is selling 21% more physical gas with a far larger derivative hedge book in place to protect the differential.
The single load-bearing risk is leverage and the speed of integration. Total debt rose from $1.40 billion at year-end 2025 to $2.61 billion at June 30, 2026, driven by a $1.5 billion three-year term loan, $750 million of new 5.400% senior notes due 2036, and $182 million of commercial paper that the company tapped for working capital. Net debt now sits in the mid-$2.5 billion area against a roughly $11.2 billion equity capitalization at the current $36.40 share price, a leverage profile that is well above the pre-deal company but still manageable inside the 65% total-indebtedness-to-capitalization covenant. The falsifiable clock is the third-quarter earnings print, which carries the first full quarter of HG Production contribution and the first real test of whether gathering and processing synergies on the acquired acreage translate into the per-Mcfe cost compression management has guided to.
