Apimeds Q1 FY2026 Earnings: A Pre-Revenue Biotech, A Crypto Treasury, and A Korean-Affiliate Lawsuit

Apimeds Pharmaceuticals US (APUS) is a clinical-stage biopharmaceutical company with a single, narrow story: a US Phase III-ready drug candidate for knee osteoarthritis, parked behind a $128 million crypto-asset treasury and a Korean-affiliate lawsuit that may or may not unwind the merger that funded the treasury. The freshest complete quarterly print is the three months ended March 31, 2026, filed in late May 2026. There was no revenue, exactly as the company has guided for years, and the GAAP net loss was $35.1 million - almost all of it non-cash, driven by a $22.1 million mark-to-market decline on digital assets and an $8.1 million non-cash advisory share charge. Operating cash burn was a far more modest $2.1 million, and the company finished the quarter with $8.0 million of restricted cash and $1.0 million of unrestricted cash, plus a $120.9 million PIPE ceiling with $110.0 million still undrawn at quarter-end. The most consequential new fact in the seven weeks since March 31 is not the headline loss. It is a private dispute in which Apimeds Korea, owner of a majority of the company's pre-conversion voting stock, has purported to remove the directors and CEO and is contesting the December 2025 MindWave merger; the former CEO has filed suit in the Southern District of New York seeking to compel completion of the same merger. The same week the company's most recent quarterly report was filed, NYSE American placed the company on a six-month late-filing cure clock for the delayed annual report, and an April 2 trading halt remained in effect at the time of the listing notice. A 1-for-10 reverse stock split became effective July 24, 2026, and the new CSO is the founder of the Korean affiliate that is now in litigation with the company. The thesis on APUS is not a financial one - it is a corporate-control one.
