ARKO Petroleum's Q2 2026 Print: Conversion Engine Outruns Macro Volume Drag

ARKO Petroleum Corp. (Nasdaq: APC) is the wholesale and fleet-fueling business that ARKO Corp. carved out and IPO'd on February 13, 2026 at $18.00 per Class A share. The Q2 2026 print, the company's second as a public registrant, delivered a textbook fuel-distributor quarter: fuel contribution grew on a stronger cents-per-gallon (11.8¢ in Q2 2026 vs 10.7¢ in Q2 2025; 11.6¢ H1 vs 10.3¢ H1) while total gallons sold fell 8.9% in Q2 and 7.1% in H1 on a "challenging macroeconomic environment" and ARKO retail site conversions. Adjusted EBITDA came in at $39.8 million in Q2 2026 versus $38.3 million in Q2 2025, and at $76.2 million in H1 2026 versus $69.2 million in H1 2025. Twelve-month Adjusted EBITDA reached $150.5 million. The IPO's $206.8 million of net proceeds cut total debt, net from $392.0 million to $184.7 million and brought Net Debt to Adjusted EBITDA from 3.7x to 2.2x. Net income for Q2 2026 was $12.2 million, up from $10.0 million in Q2 2025, and the Q3 2026 dividend was set at $0.50 per share ($2.00 per share annualized), which annualizes to roughly $95.1 million of cash distributions. At a closing price of $19.06 on August 13, 2026, the full economic equity (Class A and Class B combined) is worth $906.5 million, enterprise value is $1,230.7 million, and the equity trades at 8.2x trailing-twelve-month Adjusted EBITDA on the full economic share count (a basis consistent with how the dividend is paid pro rata across both classes).

The thesis restated in one sentence: the conversion of ARKO retail sites to dealer locations is the structural cash-flow lever, gallons sold at the wholesale segment are flat-to-down because of macro, and the IPO-funded deleveraging plus a 6.0 cents-per-gallon fixed margin (up from 5.0¢) is the bridge from operational margin compression to balance-sheet-driven earnings expansion. The 8/13/2026 reaction is muted - the stock sits 12% below its $21.72 52-week high set May 12, 2026 and 12% above its $17.00 52-week low set on the first trading day February 12, 2026 - which is consistent with a print that was good on the operating side (Adj EBITDA up 4% Q2, 10% H1) but did not reset the bull case. The bear thesis is gallons. The bull thesis is that 62 H1 conversions plus 20 fleet-fueling new-builds (3 opened, 17 in process) plus 471 cumulative conversions since 2024 compound through Discretionary Cash Flow faster than the deleveraging and dividend coverage allow the share count to absorb.
