Aemetis Q2 FY2026 Earnings: The Turn the Balance Sheet Refused to Confirm

Published August 13, 202626 min read·TickerFile Research · AEMETIS, INC (AMTX)

Aemetis' second quarter arrived with the company closer to operating profitability than it has been in years and one full quarter closer to a balance-sheet reckoning that management's own going-concern note warns may not be resolvable. There are two ways to read this quarter. The first reads as an inflection: revenue $62.7 million rose 20% year over year, gross profit swung to $13.5 million from a $3.4 million loss, operating income reached $5.8 million versus a $10.7 million loss, and adjusted EBITDA turned $9.7 million positive from a $5.8 million loss - a $15.5 million swing, the largest in the company's recent history. The second reads the same numbers through the rest of the page. Cash on the balance sheet ended at $1.0 million, total borrowings climbed to $415.9 million with $354.2 million of that in the current column and most of it callable on demand, the stockholders' deficit widened to $322.1 million, and management's own going-concern note reiterates that "substantial doubt exists about our ability to continue as a going concern" over the next twelve months. The first look says turn; the second look says the turn may not finish.

Each business contributed to the operating swing, in different ways. California Ethanol - the largest segment - turned an operating loss into a profit as 15.5 million ethanol gallons (+12%) sold at a 9% higher average price ($2.19 per gallon) on a 5% lower delivered corn cost ($6.07 a bushel), with $6.5 million of newly recognized Section 45Z production tax credits flowing through revenue. California Dairy Renewable Natural Gas more than doubled segment revenue (146,900 MMBtu sold, +38% year over year) but the headline price per MMBtu collapsed to $1.51 from $2.75 in the year-ago quarter - a real tell that the underlying mix has shifted from high-priced RNG-plus-environmental-attribute sales to volume-plus-credit sales at a softer average real per-unit. India Biodiesel fell to a 3.6% nameplate-utilization quarter ($2.5 million of revenue) after a strong Q1, reflecting a pause in OMC tender purchases that the company expects to resume. The operating story is genuinely improved. The capital story is unchanged: the company is funding the turn with debt at prime-plus-13.75% (effective 20.50% on its largest revolver) and at-the-market equity issuance, while a separate going-concern disclosure flags the same doubt about the next twelve months.

The market is not pricing the operating turn as an inflection. At a reference price of $1.745 on August 12, 2026, Aemetis trades roughly 53% below its 52-week high of $3.66 touched on May 5, 2026, and roughly 32% above its 52-week low of $1.32 set in late December 2025. With about 72.2 million shares outstanding, market cap sits near $125.9 million - barely larger than a single quarter of revenue and well below the company's $415.9 million debt stack, making this a market that is pricing the equity as a residual claim on a heavily-levered, going-concern-flagged business rather than as a self-funding biofuels franchise. The rest of the report walks the gap between the two looks: what turned, what is still owed, and the few numbers that will decide whether the going-concern note is reissued or retired.
