Agencia Comercial Spirits: A Whisky Trader's $200 Million Bet on AI Compute

Agencia Comercial Spirits reached the end of fiscal 2025 as a small, profitable whisky distributor: revenue of roughly $6.2 million, net income near $609,000, a Nasdaq listing secured in October 2025, and a founding family in control. Then, in under nine months, the company spent and raised as if it were a different business. It signed a five-year agreement to sell AI cloud services to a single, unnamed digital-financial-services customer - a contract the company itself frames as worth up to roughly $374 million, not as guaranteed revenue. It committed to about $13.4 million for data-center land in Indonesia and to power purchase agreements for a roughly 40MW facility, and it placed deposits against the eventual lease of NVIDIA B300 GPUs that was, as of its June prospectus, still only a letter of intent. To pay for all of it, the company raised $14.55 million in a March PIPE and then sold 20 million new shares at $10.00 in July, closing an offering that put roughly $200 million of gross proceeds on the balance sheet.

The quarter that matters for this report is not a quarter of operations - it is the $200 million bet itself. The whisky business, which is the only source of earned revenue the company actually has, grew its top line but saw its gross margin compress to 30% and its operating cash flow turn deeply negative for the year. The AI computing business has customers, in one case, and commitments, in several cases, but as of the June prospectus it had recognized no revenue from the AI agreement and had received no cash from the customer. The market is paying, at the current share price near $15, for a buildout that has not yet billed a dollar of its flagship contract. The central question is whether a $6 million whisky trading business can convert a maximum-value contract into real, recurring, cash-generating AI revenue - and whether investors are being asked to pay as if that conversion already happened.
