Aegon's fiscal 2025 arrived with the company mid-transformation: a Dutch-origin life insurer that spent a decade shrinking out of Europe and Asia into one concentrated bet on the American middle market under CEO Lard Friese. The full-year 2025 report, furnished in February, reads as a scorecard - and it was nearly perfect. The net result rose 45% to $1.1 billion (EUR 980 million), the operating result climbed 15% to $2.0 billion (EUR 1.7 billion), operating capital generation of $1.5 billion (EUR 1.3 billion) beat the $1.4 billion (EUR 1.2 billion) target Aegon set at its 2023 Capital Markets Day, free cash flow of $953 million (EUR 829 million) landed at its ~$920 million (EUR 800 million) target, and the dividend of EUR 0.40 per share was met. Then came the part that was never in the 2023 plan: the board committed to move the head office and legal seat to the United States by January 1, 2028, renaming the holding company Transamerica Inc., and put the entire Aegon UK franchise under strategic review with divestment on the table.
There are two ways to read what happened next. The first: a value insurer finally delivered on its numbers and is now doing the capital-return and restructuring things the market rewards. The second is the harder one and it is the more important. The income statement's 45% profit jump was flattered by fair-value swings and buybacks - the operating engine itself grew 15%, and management guides the operating result to grow only around 5% a year from here. And the reference price, around $9.39 on the New York listing, sits essentially at Aegon's own expressed per-share comprehensive value of ~$10.4 (EUR 9.06 of "valuation equity" - shareholders' equity plus the contractual service margin after tax). Investors are paying close to book for the value already in hand. The re-rating the move to the US is meant to unlock is not yet priced; it is the entire argument. This is a value stock at its book value that wants to be a restructuring story - and the gap between those two is the tension this report prices.
